AJL License

Requirements

Eligibility before paperwork

What KPDN requires before it will licence you.

Three things decide whether an application is viable: the company, the capital, and the compensation plan. Everything else is paperwork around those three.

Qualification gates

All three have to latch. One open gate stops the application.

01 CompanyIncorporated in Malaysia, real directors, current EPF
02 CapitalPaid up, evidenced, matching the declared model
03 PlanIncome follows product, buy-back absorbed, code of ethics written

Most companies meet gates one and two and fail on three, because the plan was designed before anyone read the Act.

The number everyone asks first

Minimum paid-up capital

Set by selling model and by shareholding. Any foreign shareholding moves you to the bottom row regardless of model.

Bars are scaled against the RM5,000,000 ceiling, so the gap between a Bumiputera single-level company and a foreign-owned one is shown at true proportion.

Multi-level marketing Not 100% Bumiputera RM1,500,000
Multi-level marketing 100% Bumiputera RM500,000
Single-level & mail order Not 100% Bumiputera RM500,000
Single-level & mail order 100% Bumiputera RM100,000
Any model with foreign shareholding Regardless of selling model RM5,000,000

The capital has to be held and evidenced, not merely declared on the form. Where the declared figure and the filings disagree, the application stops there.

Beyond the capital

The company itself has to qualify

Incorporated in Malaysia

The applicant is a company incorporated under Malaysian company law. A sole proprietorship or partnership cannot hold a direct selling licence, so incorporation comes before anything else.

Identifiable people behind it

Director and shareholder backgrounds, identity documents and an organisation chart. The Ministry is establishing that real, traceable people are accountable for the scheme.

A functioning business

A current EPF statement and a working capital position that make the company look like an operating business rather than a vehicle set up to hold a licence.

Products you can actually sell

A product and price list, with any separate approvals your category needs handled in parallel. Health and cosmetic products carry their own registration track.

The compensation plan

What makes a plan hard to licence

None of these is automatically fatal. Each one invites questions, and questions are what turn weeks into months.

  • Income that depends on recruitment

If the money follows sign-ups rather than product moving to end customers, the plan starts to resemble the thing the Act was written to stop.

Fix: rebalance so the majority of payout is driven by verifiable retail volume.

  • A joining fee dressed as a purchase

Entry packages priced well above the value of what is inside them read as a pay-to-play scheme.

Fix: price the starter pack at genuine product value and separate the sales kit from it.

  • No meaningful buy-back

The regulations require marketable goods to be repurchased on request at not less than ninety per cent of what the participant paid.

Fix: model the buy-back liability into the plan before filing, not after the first refund request.

  • Unlimited promises

Plans advertising uncapped depth or guaranteed returns create a compliance problem on day one, whatever the maths behind them says.

Fix: caps, flush rules and compression stated plainly in the plan document.

  • No code of ethics

Every participant receives a sales kit containing the marketing plan and the company’s code of ethics. If the code does not exist, the kit is incomplete.

Fix: draft it alongside the plan — it is part of the submission, not an afterthought.

  • Retail price that only works internally

If nothing sells at the listed price outside the network, the product list is doing a different job than it appears to.

Fix: set prices you could defend to a retail customer who has no interest in joining.

After approval

The obligations you are signing up for

  • Buy-back on requestMarketable goods sold to a participant are repurchased within the period the regulations set, at not less than ninety per cent of the amount paid.
  • A sales kit for everyoneContaining the marketing plan and the code of ethics, issued to each participant who joins.
  • Display the licenceThe original licence is displayed at the company’s premises or office.
  • Show the AJL numberThe licence number appears on company material, so anyone can verify you.
  • Price what you displayGoods on display carry prices, services carry prices, and only company-issued material may be circulated.
  • Answer the ControllerInformation requested by the Direct Sales Controller carries a deadline from the date of the letter.

Eligibility questions

Does the paid-up capital have to be in the bank?

It has to be genuinely paid up and evidenced in your filings and capital structure. Declaring a figure the company does not hold is the single most common reason an application stops.

We are 60% Malaysian, 40% foreign. Which row applies?

Any foreign shareholding puts the application in the foreign ownership category, with a materially higher capital requirement. Model this before you issue shares, not after.

Can a sole proprietorship apply?

No. The applicant must be an incorporated company. If you are trading as a sole proprietorship or partnership, incorporation is the first step.

Is single-level marketing really cheaper to licence?

The capital threshold is lower, yes. But the model has to genuinely be single-level. Declaring single-level while operating a multi-level plan is a licence condition problem, not a saving.

Do our products need separate approval?

Often. Health supplements, cosmetics and medical devices have their own registration regimes that run alongside the licence rather than inside it. Start both early.

What if we fail one of these requirements today?

Then the useful work is fixing the structure, not filing. Most of what blocks an application — capital, shareholding, plan design — is fixable before submission and expensive afterwards.

Not sure which row you fall into?

Tell us the model, the shareholding and roughly what the plan pays on. We will tell you what the licence will require and what to change first.
